Contract drafting and agreements

I draft and review contracts that reflect your plans and clearly allocate responsibilities, performance and risks.

From your plans to the right agreement

A workable contract begins with the financial objective. I establish expected performance, information responsibilities and risks to cover, then consider structure, duties and possible disruptions.

Advice particularly covers sales, leases, works contracts and individual dispute settlements. I also review the other side’s drafts for deviations from expectations and additional obligations.

Clear terms for potential disputes

I focus on clear scope, deadlines, payment and liability, as well as acceptance, termination and changes. General wording may leave the very question at issue unresolved.

Reusable terms also require review under standard-terms controls. A desired risk allocation cannot always be achieved through a standard form. Drafting must respect any special form or notarisation requirement.

Practical examples

These examples describe typical situations. The appropriate response depends on the facts of each case.

Documents for the initial assessment

Provide drafts, previous agreements, specifications and key negotiation points. Explain the objective, planned performance and risks most important to you. Settlements also require details of outstanding claims and proceedings.

Frequently asked questions

Can a standard contract be adapted?

Yes. I first check which provisions suit the project. Isolated changes may be insufficient if the basic structure or risk allocation is unsuitable.

Do you draft settlements too?

Yes. I draft agreements on disputed claims, payments, handover and ending disputes, expressly considering the extent of the release and enforceability.
